About the Job
The Assistant Manager, Corporate Secretary will support the corporate secretarial function for the Group. You will be responsible for ensuring compliance with statutory requirements, managing governance processes, and providing advisory support to the Board and senior management.
Key responsibilities include:
- Board Support: Take accurate minutes for Board and Committee meetings and coordinate all logistics and follow-up actions.
- Shareholder Meetings: Manage the end-to-end coordination of AGMs and EGMs for listed entities, liaising with share registrars, scrutineers, and e-poll providers.
- Regulatory Filings: Handle quarterly lodgments with MAS for business trusts and ensure all ACRA filings meet statutory obligations.
- Corporate Administration: Manage incorporations, name changes, and strike-off processes, while overseeing external secretarial firms for overseas branches.
- Share & Dividend Management: Administer share allotments under RSP and PSP plans and manage dividend payments and unclaimed dividend registers.
- Liaison: Act as the primary point of contact for internal stakeholders, regulators, and service providers.

This role provides critical administrative and advisory support directly to the Board, Board Committees, and senior management. You will work in a professional environment that values discretion, coordination, and the ability to work both independently and as a collaborative team member.
Skills and Experience Required
- Education: A Degree in Business, Law, Corporate Governance, or a related discipline.
- Experience: Minimum 5 years of corporate secretarial experience, ideally within a listed company environment.
- Technical Knowledge: Deep familiarity with the Singapore Companies Act, ACRA regulations, and MAS filing requirements.
- Competencies: Strong minute-taking skills, meticulous attention to detail, and the ability to manage multiple deadlines.
- Tools: Proficiency in Microsoft Office and digital platforms used by share registrars.
